We are delighted you want to become a Partner (referred to as “you”, “your”) with Kyero.com, which is owned and operated by, Portal47 Limited a company registered in England (6536265) whose registered office is at 14 Queen Square, Bath, United Kingdom, BA1 2HN. (referred to as “we”, “us”, “our”). Our UK VAT registration number is 974 5150 05.

Kyero.com is our award-winning property portal for international buyers, serving over half a million people each month from all corners of the globe. With Kyero you benefit from our range of tools, information and resources to help you increase your visibility and discover new buyers.

By creating an account on, and each time you access or use Kyero.com, you are agreeing to be exclusively bound by these terms and conditions (the “Terms”), so please read them carefully.

  1. Access and Subscription
    1. When you sign up as a Partner, you will be given your own account on the Kyero.com portal with your own personal Dashboard where you can create your personalised content and listings. Your access to our services depends on whether you choose free listings or our optimised Prime listings option. We may also make other information, tools and resources available from time to time.
    2. With a free listings account, you get unlimited free listings, however should you wish to gain more exposure to qualified buyers, enquiries & increased sales through our search engine optimised and promoted services, your chosen listings can be boosted by selecting the Prime option in your Dashboard.
    3. We reserve the right to remove or change, or request that you remove or change any content on your Dashboard that we deem inappropriate or misleading.
  2. Access and Use
    1. Subject to these Terms, we grant to you a personal, royalty-free, revocable, limited, non-exclusive, and non-transferable licence to use Kyero.com, including the portal, our trademarks, and all documentation, information, tools, materials and content that we provide to you and/or we give you access to via your account (including all updates and amendments we may make from time to time) for as long as you have an account.
    2. You agree to only use Kyero.com to the extent permitted by these Terms, you will act in good faith, and respond promptly and courteously to all enquiries forwarded to you by Kyero.com.
    3. You are responsible for all content uploaded to your account (manually or automatically), and you must check all content to ensure that all of your listing and/or positing are your own original content created by you, do not contain any content owned by a third party, they are complete and accurate representations of the property.
    4. Any content submitted to or posted on Kyero.com must not:
      1. contain any material which includes or promotes anything that is defamatory or obscene, abusive, offensive, threatening or inflammatory, including anything that is sexually explicit, discriminatory (based on race, sex, religion, nationality, disability, sexual orientation or age), or illegal;
      2. breach the legal rights of any third party, including infringing any copyright, database right or trade mark;
      3. be intended to mislead, deceive, or to misrepresent, including the origin of any material or your identity or an affiliation with any third party;
      4. give the impression that it originates from us, is endorsed or approved by us (expressly or by omission);
      5. contain comments about or references to other users of our website;
      6. include spam, or unapproved computer code, links, or URLs;
      7. contain information or comments about, comparison or references to our competitors, or competing sties, products or events.
    5. We reserve the right in out absolute discretion to amend or remove without notice or liability any content, listing and/or posting which we consider is or may be unacceptable for any reason.
    6. We may immediately suspend or terminate your account if we determine: (i) that you may adversely impact or pose a security or legal risk to us, or (ii) your use of Kyero.com or your actions may bring Kyero into disrepute, or (iii) your use of Kyero.com or our trademarks, or any documentation, information, tools and materials that we provide to you is in contravention of these Terms.
    7. You are responsible for taking reasonable security precautions in respect of your account, and you will:
      1. take all reasonable steps to protect the confidentiality of Kyero.com and its contents, and to safeguard access to your Kyero.com account by persons other than you;
      2. keep your passwords and log in details secure, and not divulge them to any third party; and
      3. change your password regularly, and inform us immediately if you know or suspect that Kyero.com or your login details have been compromised.
  3. Limited Warranty
    1. We warrant that we have the rights to grant you the use of Kyero.com and the portal, however you agree that all contents and services provided by us are provided on an “as-is” basis with no warranties or guarantees whatsoever, whether express, implied, statutory or otherwise.
    2. We will use our reasonable efforts to make Kyero.com and portal availability reliably, uninterrupted, and error free, however we cannot guarantee this. Access to Kyero.com may also be suspended or restricted occasionally without notice, to allow for repairs, maintenance, or upgrades. We will attempt to limit the frequency and duration of any such suspension or restriction.
    3. Kyero.com is accessed and delivered over the internet, and therefore subject to efficiently, reliability, and other problems inherent in the use of the internet and electronic communications. We will not be responsible for any delays, delivery failures, viruses, hacker intrusions, or damage resulting from such issues. It is also your responsibility to ensure that any of your content on Kyero.com has been suitably backed up.
    4. We will not be responsible for any failure to provide Kyero.com, or fulfil any obligations due to any cause beyond our reasonable control.
    5. The warranties set out in this clause are the only warranties that apply. We hereby exclude all other conditions, warranties, representations or other terms that might otherwise be implied or incorporated into these Terms by law, such as (but not limited to) those of satisfactory quality, fitness for a particular or any purpose or ability to achieve any particular result.
  4. Fees and Payment
    1. We will invoice you for any Prime listings fees that you have selected in accordance with the pricing set out at Kyero.com Pricing, which may be updated from time to time. You understand that active subscriptions only begin upon payment, where:
      1. if your current Prime pack has expired, you have 30 days to pay and your Prime listings will go live on the day that we receive payment;
      2. if you are on a current Prime pack, the next payment due date will be the date that the new Prime pack commences.
    2. If you need to query an invoice, please let us know within ten (10) days of receiving the invoice. All prices are exclusive of any applicable sales or value added tax, which will be added at the then current rate. In the event that you are required to make any withholding of tax required by your national authority, you agree that the total invoiced sum will be increased as required to ensure that we receive payment in full.
    3. If any payment is overdue we reserve the right to suspend your account, or your listings; and/or terminate your account.
  5. Limitation of Liability
    1. Nothing in these Terms is intended to or will exclude or limit any liability that cannot be excluded by law.
    2. Subject to Clause 5.1:
      1. in no event will we be liable for any damages resulting from: loss of, damage to or corruption of data; loss of use; lost profits; loss of revenue; loss of anticipated savings; loss of goodwill; loss of reputation; and, any indirect or consequential loss. Such liability is excluded whether such damages were reasonably foreseeable or actually foreseen, and
      2. our maximum aggregate liability to you howsoever arising and for any cause whatsoever will be for direct costs and damages only and will be limited to the aggregate of the payments paid and payable by you in the preceding 12 months.
  6. Duration & Termination
    1. These Terms will come into force from creation of your account on the Kyero.com portal, and will remain in force (as may be amended from time to time) until deletion of your account.
    2. Prime listing fees will be payable from selection by you of the Prime option in the portal, on a rolling monthly basis, until you de-select the Prime option.
    3. Either you or we may terminate these Terms immediately on giving written notice if the other party:
      1. commits any material breach of any term of these Terms, and in the case of a breach which is reasonably capable of remedy fails to remedy that breach within ten (10) days of a written request to remedy the same; or
      2. has or is likely to, become insolvent or cease trading or have a receiver or administrator appointed over its business or assets or if any substantially similar event occurs in any jurisdiction.
    4. You may request to close your account at any time by notifying us.
    5. We may immediately and without any liability to you suspend or terminate your account and/or close your account at any time for any reason in our sole discretion.
  7. Intellectual Property
    1. All rights and title in Kyero.com, and any software, content, design, text, images, photographs, illustrations, audio and video material (including webinars created by us), artwork, graphic material, database, documents, content, blogs, postings, proprietary information and all copyrightable or otherwise legally protectable elements of Kyero, and all trademarks, service marks and trade names will vest in or remain with us.
    2. You may not copy, reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast or circulate to any third party (including, without limitation, on or via a third-party web site), or otherwise frame any content, or use any materials contained on Kyero.com without our prior written consent. In particular you may not re-use or re-publish any listings not created by you, and you may not systematically extract and/or re-utilise any Kyero.com content without our prior written consent, including but not limited to using any data harvesting bots, scrapers or spiders.
    3. You may copy or reproduce the contents of Kyero.com only to the extent reasonably necessary for your own internal business operations, but you must not alter any of the contents, or produce any derivative works, without our consent, and must reproduce all existing copyright and other notices on all copies.
    4. Where you include, or agree to allow us to use, any of your logos, trademarks etc. on Kyero.com, or on any information, materials or documentation we produce, or you upload any information, materials or documentation to Kyero.com, or you otherwise provide any content or information to us, you:
      1. represent that you have the right to grant and hereby grant to us a non-exclusive, royalty-free licence for their use for all reasonable purposes related to and in connection with Kyero.com;
      2. warrant that all information you provide is true, accurate and not misleading;
      3. agree to indemnify us for any cost or loss incurred by us as a result of any claim that, (i) the use or existence of your logos, trademarks etc or any content, information, materials or documentation provided by you infringes the intellectual property rights of a third party, or (ii) that any information is untrue, inaccurate or misleading. We will notify you promptly of any such claim and will defend and settle the claim.
    5. By subscribing, you accept that Kyero.com may re-advertise your properties on 3rd party websites.
  8. Confidentiality
    1. Each party (the “Recipient”) agrees to treat as confidential all of the other party’s information that is identified as being confidential, or that could reasonably be expected to be confidential, that it acquires during or in connection with the use of Kyero.com. The Recipient will be liable for any breach of this clause by any of its employees, sub-contractors or professional advisors as though the Recipient had itself committed such breach. The above restrictions will not apply to information which is, or has become, part of the public domain other than as a result of a breach of the obligations of confidentiality set out above and will continue for a period of 2 years from the date of disclosure.
  9. Data Protection
    1. “Data Protection Legislation” means the Data Protection Act 2018 and all other applicable laws and regulations relating to the processing of Personal Data and privacy. The parties will comply with their respective obligations under the Data Protection Legislation.
    2. Your data and preferences are handled as per our privacy policy and cookie policy.
    3. Where one party receives Personal Data for processing, before commencing any processing, they will agree with the Data Controller the following: (a) the subject-matter and duration of the processing; (b) the nature and purpose of the processing; (c) the type of Personal Data and categories of Data Subjects involved; (d) the obligations and rights of the controller and processor.
    4. The Data Processor will:
      1. act solely on the instructions of the Data Controller;
      2. ensure that, (i) the appropriate technical and organisational measures are in place to comply with the Data Protection Legislation and protect the rights of the Data Subjects, and (ii) persons authorised to access the Personal Data are subject to appropriate confidentiality undertakings;
      3. not transfer the Personal Data outside of the EEA, or to any third party without the Data Controller’s consent;
      4. give the Data Controller reasonable assistance and information in relation to either parties compliance with the Data Protection Legislation;
      5. at the end of the processing, (i) either delete or return the Personal Data to the Data Controller, and (ii) delete copies of the Personal Data unless subject to a legal obligation to store the copies;
      6. not engage another processor of the Personal Data without the prior written consent of the Data Controller.
  10. General
    1. You may not assign your subscription or otherwise transfer any of your rights or obligations to us except with our prior written consent.
    2. You agree to receive all documents, notices, disclosures, and other communications that we provide to you, electronically, and that this will satisfy any legal requirement that such communications be in writing
    3. All notices must be given in writing, if to us via the Kyero.com portal or if to you to the email address specified by you in the portal. Any written notice sent by post must be sent by registered or recorded mail or courier, marked for the attention of the directors.
    4. These Terms constitute the entire agreement between the parties with respect to provision of, access to, and use of Kyero.com and its contents, and will supersede all previous representations, agreements and other communications between the parties, both oral and written. These Terms will prevail notwithstanding any alternative terms proposed or submitted by You. We may amend these Terms from time to time at our sole discretion.
    5. These Terms will be governed by English law and the English courts will have exclusive jurisdiction to settle any disputes arising between the parties.
    6. If any term is adjudged to be invalid, void, or unenforceable, the remaining terms will continue to be valid and enforceable.
    7. No waiver by either party of any term will constitute a waiver of any such term in any other case whether prior or subsequent thereto. No single or partial exercise of any power or right by either party will preclude any other or further exercise thereof.
    8. A person who is not a party has no rights to enforce any of these Terms.
    9. The following clauses will survive any expiry or termination your account: 1, 4, 5, 6, 8, 10, 11.
